Board of Directors Roles and Responsibilities/Job Description

The Board is legally responsible for administering the business affairs of the corporation on behalf of the members. (Clients/families)

The Board of Directors is responsible for the overall direction of the organization, for setting policies, and for the legal and financial operation of the corporation

The Ontario Corporation’s Act stipulates that Board of Directors is legally responsible for carrying out and maintaining the incorporation process

The Board as whole is legally responsible for directing and governing the corporation and are directly accountable to:

  • The Clients/families who are considered the membership
  • The Ministry of Education – Early Learning Years Division
  • The Ministry of Labour
  • The Ministry of Community and Social Services
  • Toronto Children Services (if applicable)
  • The local community School Board’s if they are located within a school.
  • Other related community, municipality, government agencies, and professional

Key roles & Responsibilities

  • Strategic planning and direction: to establish and evaluate the organization’s vision, mission, and direction
  • Corporate Sustainability: to assess and develop risk management strategies
  • Legal requirements and accountability: to ensure the board and the organization adheres to all legal/legislative requirements
  • Financial management
    • to ensure adequate financial resources to operate the organization
    • to ensure all government remittances are being made
    • to ensure access to all available grants and/or funding
    • to ensure best financial practices are in place
  • Human resources
    • to ensure the organization as an employer has best policies/practices
    • to hire the Ministry approved Executive Director, Supervisor or Manager to manage all the day to day operations on behalf of the whole Board of Directors
    • to ensure ethical Human Resource policies are in place and followed
  • Monitoring, auditing, and evaluating: to ensure that the board works effectively and plan for the future
  • Marketing and fundraising: to investigate new funding opportunities & ensure the organization is well known in the community
  • Community relations: to ensure the organization responds to the changing needs or requirements of the community
  • Committees:
    • to establish committee structures as needed by the Board to fulfill their mandate
    • to set the terms of reference to guide committees of the Board
  • Succession Planning: to develop/review how to select, recruit, attract, the right board members to continue ensure the organization continues to thrive

The Board's mandate is to govern responsibly by establishing policies for the Director/Supervisor or Manger and not to interfere with the day to day management of the organization or management of the professional staff

Boards must be careful not to mistake governance with supervision and interfere with the duties and/or responsibilities of the Director/Supervisor or Manager

Board Positions & Responsibilities

Accountability: The President is accountable to the Board of Directors. Perform such other duties as the Board of Director's may direct

Duties & Responsibilities

  • To remain impartial and to ensure Board members understand their jobs and are able to fulfill those expectations
  • To provide leadership, helps guide and mediate Board actions with respect to organizational priorities and governance concerns
  • To ensure the Board functions according to its by-laws
  • To ensure that the Board operates as a team consistent with its own policies
  • To work in partnership with the Director/Supervisor/Manager
  • To review with the Director/Supervisor any issues of concern to the Board
  • Sits as an ex-officio member on all committees and works with committee chairs to ensure work is being done
  • Monitors financial planning and financial reports
  • Chairs all Board meetings, Annual meeting, and any other meeting of the membership
  • Delegate to other board members where appropriate
  • Appoints the chairpersons of committees in consultation with the Board
  • Attend to all correspondence, identify issues and set the agenda
  • To make sure the Board moves through the Agenda and there is adequate discussion time
  • To provide structure by ensuring an agenda is set, all relevant minutes, documentation, and material is available to the Board
  • To re-direct personal issues
  • Works closely with and does not micromanage the Executive Director/Supervisor by providing advice and acts as a sounding board
  • Ensures an annual evaluation of the Executive Director is conducted in conjunction with the Human Resource Chair
  • Informally evaluates the effectiveness of the Board members
  • Evaluates annually with the whole board the performance of the organization in achieving its mission
  • To represent the organization to outside parties
  • To be the official spokesperson for the Board of Directors
  • Orients the new President
